Things are getting ugly for Steve Wynn. He could be spending even more time in the courtroom now that his extremely litigious feud with former business partner Kazuo Okada has sparked an SEC investigation and the first of a potential avalanche of derivative shareholder lawsuits. At least he won't have to worry about juggling court with the responsibilities of being one of the world's most admired CEOs. Barron's crossed him off its list of the world's 30 best CEOs last week. From Shareholder Lawsuit to Barrons Slight, Business World Losing Confidence in Wynn Resorts

Wynn Resorts Ltd. board members, including Steve Wynn and Kazuo Okada, were sued by a shareholder who says the board's conduct has damaged the value of investments in the company. The move could be the first of many lawsuits brought by shareholders; Okada and Wynn are involved in a vicious legal battle that Okada says is about Wynn Resorts' $135 million donation to the University of Macau. Wynn says it is a diversion from Okada's bribery of Philippine gaming officials and stealing of company knowledge to open a competing Asian mega-resort. Shareholders say no matter what it's about, it's hurting the value of the company.

The Louisiana Municipal Police Employees' Retirement System, which owns Wynn shares as part of its pension plan portfolio, filed suit on Tuesday claiming that Wynn Resorts directors breached their fiduciary duties "by allowing Wynn Resorts to engage in ... waste of corporate assets and to allow potential violations of the Foreign Corrupt Practices Act (FCAP) from at least 2009 to the present." Last year, the Louisiana agency filed a similar suit against the Las Vegas Sands for damage to the company caused by potential FCAP violations.

The lawsuit against Wynn Resorts goes on to say that "regardless of who ultimately prevail sin the Wynn Resorts boardroom battle, it is the company that has, and will, lose the most." The Louisiana shareholder sued all 12 Wynn Resorts board members individually on behalf of the company so the company could claim damages from their personal funds to improve the value of shares held by Wynn Resorts stockholders. The lawsuit also asks the court to bar Wynn Resorts from fulfilling the remainder of its pledge to the University of Macau.

Many law firms have issued press releases in the last several weeks announcing their investigations into Wynn Resorts, prompting speculation that other shareholders may follow the Louisiana Municipal Police Employees Retirement System's lead in suing the company's management.

In a more personal blow to Steve Wynn's ego, international business magazine Barron's dropped Wynn from its annual list of the top 30 CEOs in the world. "While Wynn Resorts' Steve Wynn has been a huge winner for investors of the past few decades, we dropped him after he had an acrimonious business dispute with a Japanese partner," the magazine wrote. Wynn was one of 12 CEOs cut from the list, including the late founder of Apple, Steve Jobs, the retired CEOs of IBM and Costco, and the CEO of the financially troubled Netflix.

Sands Facing New Shareholder Lawsuit and $375 Million Damage Claim from Macau Company

A new shareholder lawsuit was filed today against the board of the Las Vegas Sands Corp., contending that mismanagement was the primary cause of the company's 2008 drop in stock price and that the economic recession merely exacerbated it. Sands stock dropped from $36.11 per share on Oct. 1, 2008, to $7.85 on Nov. 6, 2008, the filing noted. Share price was as high as $144 in 2007 and as low as $1.38 in 2009.

"Defendants issued a series of materially false and misleading statements that failed to disclose that the Las Vegas Sands was facing a liquidity crisis so severe that it threatened to crater the company," the suit claims. The Sands has consistently denied those allegations.

The latest suit is a derivative action on behalf of shareholder Ernest Kleinschmidt. Three similar suits were combined into one case and dismissed in 2009, and two similar class-action suits are currently moving through federal court.

Sands' subsidiary, Sands China Ltd., was also sued this week. Macau-based Asian American Entertainment Corp. is seeking $375 million in damages from Sands China and three related companies for an alleged breach of agreements surrounding the Sands' 2001 acquisition of a gaming license for the Venetian Macau. Asian American Entertainment, controlled by Taiwanese businessman Shi Sheng Hao, claims that the Sands improperly severed a partnership agreement.

Stations Settles City of Henderson Suit over Competitor's Operating Permit

Station Casinos LLC settled a lawsuit this week against the city of Henderson, Nev., when the city attorney's office reversed its position on granting a gaming license to the currently shuttered Roadhouse Casino. Litigation against Roadhouse owner Robert McMakin and operating company Marengo Inc. remains unresolved. The Roadhouse is near three Station properties: Sunset Station, Fiesta Henderson, and Boulder Station.

A Station property, Sunset Station LLC, filed suit in Nov. 2010 claiming that the city of Henderson had unlawfully granted an operating permit to McMakin to allow him to renovate and reopen the Roadhouse as a nonrestricted casino even though the Roadhouse does not have an attached hotel. Henderson city code requires properties to have at least 200 hotel rooms in order to operate nonrestricted casinos. Otherwise they are limited to slot machines and video lottery terminals.

According to the settlement reached on Monday, the city attorney's office in Henderson reversed its decision to grant a permit to the Roadhouse, and Station dropped the lawsuit and agreed to pay its own legal fees. City Attorney Josh Reid acknowledged that the approval of Roadhouse's permit application was an error. The city thought that the Roadhouse had a valid conditional use permit for nonrestricted gaming, but the permit had expired in 2006.

"The company as grateful the city was willing to take a look at it a second time," said Station's attorney, Todd Bice. "After they investigated the situation, we were able to come to an agreement."

WASHINGTON (AP) ? While the rest of us have to wait until June, the justices of the Supreme Court will know the likely outcome of the historic health care case by the time they go home this weekend.

After months of anticipation, thousands of pages of briefs and more than six hours of arguments, the justices will vote on the fate of President Barack Obama's health care overhaul in under an hour Friday morning. They will meet in a wood-paneled conference room on the court's main floor. No one else will be present.

In the weeks after this meeting, individual votes can change. Even who wins can change, as the justices read each other's draft opinions and dissents.

But Friday's vote, which each justice probably will record and many will keep for posterity, will be followed soon after by the assignment of a single justice to write a majority opinion, or in a case this complex, perhaps two or more justices to tackle different issues. That's where the hard work begins, with the clock ticking toward the end of the court's work in early summer.

The late William Rehnquist, who was chief justice for nearly 19 years, has written that the court's conference "is not a bull session in which off-the-cuff reactions are traded." Instead, he said, votes are cast, one by one in order of seniority.

The Friday conference also is not a debate, says Brian Fitzpatrick, a Vanderbilt University law professor who worked for Justice Antonin Scalia 10 years ago. There will be plenty of time for the back-and-forth in dueling opinions that could follow.

"There's not a whole lot of give and take at the conference. They say, 'This is how I'm going to vote' and give a few sentences," Fitzpatrick said.

It will be the first time the justices gather as a group to discuss the case. Even they do not always know what the others are thinking when they enter the conference room adjacent to Chief Justice John Roberts' office.

By custom, they shake hands. Then Roberts will take his seat at the head of a rectangular table. Scalia, the longest serving among them, will be at the other end. The other seven justices also sit according to seniority, the four most junior on one side across from the other three.

"They generally find out how the votes line up at the conference," said Orin Kerr, a George Washington University law professor who worked for Justice Anthony Kennedy nine years ago.

The uncertainty may be especially pronounced in this case, where the views of Roberts and Kennedy are likely to decide the outcome, Kerr said in an interview Thursday. "I don't think anyone knows. I'm not sure Justice Kennedy knows."

No one's vote counts more than the others', but because they speak in order of seniority, it will become clear fairly quickly what will become of the health care overhaul.

That's because Roberts speaks first, followed by Scalia, then Kennedy. If the three men hold a common view, the Obama health care overhaul probably is history. If they don't, it probably survives.

If Roberts is in the majority, he will assign the main opinion, and in a case of this importance, he may well write it himself, several former law clerks said. If Roberts is a dissenter, the senior justice in the majority assigns the opinion.

The court won't issue its ruling in a case until drafts of majority opinions and any dissents have circulated among the justices, changes have been suggested and either accepted or rejected.

"These justices aren't locked in. Minds have changed during the drafting process and minds have changed after opinions have been circulated," said Rick Garnett, associate dean and professor of law at Notre Dame Law School who worked for Rehnquist 15 years ago.

In one celebrated case decided in 1992, Rehnquist initially assigned Kennedy to write a majority opinion for five justices allowing prayers at public school graduations. In the end, Kennedy ended up writing the opinion for a different five-justice majority striking down the graduation prayers. According to several accounts, Kennedy simply changed his mind during the writing process.

No one will know precisely when decisions on particular cases will be coming, until perhaps Roberts ends a court session in late June by announcing the next meeting will be the last until October. Then it's a safe bet that whatever hasn't been decided will be on the last day. And decisions in the biggest cases very often aren't announced until that last day of the term.

Supreme Court opinions rarely find their way to the public before they are read in the marble courtroom, although the court inadvertently posted opinions and orders on its website about a half hour too soon in December.

The last apparent security breach occurred more than 30 years ago when Tim O'Brien, then a reporter for ABC News, informed viewers that the court planned to issue a particular opinion the following day. Chief Justice Warren Burger accused an employee in the printing shop of tipping O'Brien and had the employee transferred to a different job.

Sometimes, though, the justices themselves manage to let people know something big is coming.

On May 17, 1954, the attorney general, secretary of state and Nina Warren, wife of the chief justice, were in the courtroom when Earl Warren read the historic, unanimous opinion in Brown v. Board of Education outlawing school segregation.

It is not a hidden fact that pets gives their owner a sense of complete satisfaction, and now, its use has been extended to workplace.

Lead researcher Randolph Barker, a professor of management at Virginia Commonwealth University's business school in Richmond, said that in order to reach at the above given conclusion, they conducted an experiment at Replacements Ltd.

It is a firm which specializes in selling stoneware, crystal and other dinnerware. The firm is also known for allowing its employees to get their pets along at the office. There are many staff members, who bring their pets at the office.

The company's Chief Executive said that Replacements ahev been allowing its employees to bring pets for last two decades. The study researchers enrolled 76 employees and divided them into three groups. The first group was the one, which has pets and bring them along at workplace, second group was the one, which has pest but left them at home, and third group was the one, which did not have pets.

In order to know the level of stress, the study researcher took saliva samples and also conducted surveys for one week. After the completion of one week, it was found that employees, who brought their pets along were having a unique dog-related communication and more were calmer than other two groups.

Barker said, "The differences in perceived stress between days the dog was present and absent were significant. The employees as a whole had higher job satisfaction than industry norms".

FRIDAY, March 30 (HealthDay News) ? While unseasonably warm weather delights many people, those with allergies may not be as thrilled with the early arrival of spring.

Arriving along with those beautiful blooms is plenty of pollen that has hay-fever sufferers sneezing at least a few weeks sooner than normal.

And, in some areas, not only is the season starting early, but the pollen counts are breaking records. Several days ago, Atlanta?s pollen count reading was 9,369 particles of pollen per cubic meter, which is 55 percent higher than the old record high set in 1999. Normally, anything above 1,500 is considered high in the Atlanta area, according to the American College of Asthma, Allergy and Immunology (ACAAI).

?Tree pollen in some parts of eastern U.S. started in early February, which is about three to four weeks early, and some areas have had record high counts for days and weeks. For the one in four people who has allergies, this is having a cumulative effect. The longer you get exposure, the worse the problem becomes,? explained Dr. James Sublett, an allergist and spokesman for the ACAAI.

He said mold counts haven?t been high yet, but normally in the winter, mold is gone once the ground freezes. ?We?ve had some mold counts in the moderate range here in Louisville, Ky., and because of the nice weather people are outside more. Again, it?s that continuous exposure that makes allergies even worse.?

And, humans aren?t the only ones enjoying the warmer weather. Ticks and mosquitoes that are normally dormant at this time of the year are already active, according to Richard Ostfeld, a senior scientist with the Cary Institute of Ecosystem Studies in Millbrook, N.Y.

?Adult ticks have been active all winter long. The warm winter weather changed their behavior, but so far there?s no evidence that it?s changed their abundance. And, given the mildness of the winter, there could be a better over-winter survival of mosquitoes,? Ostfeld said. Plus, he said, mosquitoes may get a jump-start on breeding with the warm weather.

If you normally use flea or tick treatments on your animals, hopefully you?ve started those treatments. If you haven?t, now is the time, according to Ostfeld. And, it?s important to be vigilant about checking yourself and children when you come in from outdoors for ticks, he said.

As for dealing with allergies, Sublett said the first line of treatment is over-the-counter antihistamines, such as Allegra, Claritin and Zyrtec. There are also nasal spray antihistamines, as well as topical nasal steroids for the treatment of allergies (most of these are available only by prescription). If you have allergies and asthma, Sublett said that montelukast (Singulair) can help treat both those problems. Singulair is only available by prescription.

Sublett said it?s a good idea to visit an allergist so you can find out exactly what you?re allergic to, so that you can take steps to avoid those allergens.

If you?re allergic to pollen, but love to garden, Sublett said you should wear a mask (with a NIOSH N95 rating) to filter the small particles that you?re bound to stir up while gardening or mowing the lawn.

He also recommended keeping your windows closed and using your air conditioner or home heating vent system to filter the air in your home. Sublett said to close the windows in your car and use the recirculated air setting in the car. In addition, be sure to change air conditioning and furnace filters frequently, and use high-efficiency filters with an 11 or 12 rating, he advised.

If you don?t have a heating or air conditioning system that can filter your home?s air, portable in-room air filters can work well. But, Sublett said, be sure to get one with a HEPA (high-efficiency particulate air) filter that?s large enough for the room you need to clean, and let it run often. He advised against the ionizing type of air cleaners as those can put ozone in the air, which isn?t good for those with breathing problems.

The business benefits of remote working cannot be ignored in today's scenario of the shifting nature of work culture. Gone are the days when work simply meant commuting to an office, fighting the rush-hour traffic to and fro, putting in the required hours and then receiving a pay check at the end of the week, fortnight or month. More and more employers are realizing that there has been a slow but very definite paradigm shift in how work culture has evolved over the past couple of decades.

With geographical boundaries blurring in the blitzkrieg of advanced technology, an employee no longer has to have a compulsory physical presence at his or her place of work. That's the beauty of remote working, also another version of outsourcing. What are the immediate and long-term benefits of remote working? Several!
